Vendor contract scanner
Paste a vendor contract or open the .docx or .pdf. Get a risk list for auto-renewal, notice periods, liability caps, termination, price increases and data processing, with the clause text and a plain-English explanation of each.
Nothing is uploaded. The contract is read in your browser. Not legal advice.
Terms agreed? Send it for signature
When the vendor accepts your changes, send the final contract for e-signature with Pactlyra.
What the scanner flags
- Auto-renewal: contracts that roll over unless you act, and how long the renewal term is.
- Notice period: how many days before the end you must give notice, and narrow cancellation windows.
- Liability cap: caps tied to a few months of fees, fixed amounts, caps that protect only the vendor, and unlimited liability.
- Termination: vendor termination for convenience, no way for you to leave early, early-termination fees, long cure periods and suspension rights.
- Price escalation: percentage increases, index-linked (CPI) increases and "then-current" pricing at renewal.
- Data processing: use of your data for the vendor's own purposes or AI training, sub-processors, breach notice times, transfers abroad, retention and whether a data processing agreement is referenced.
Every rule and threshold is on What it checks. Going through a contract by hand? Use the vendor contract review checklist.
Questions
Is my contract uploaded anywhere?
No. The text you paste and the files you open are read by JavaScript in your browser. The page's security policy stops it from sending the contract anywhere, and nothing is stored after you close the tab.
Which files can it read?
Word (.docx), PDF (.pdf) and plain text (.txt). PDFs are read with a copy of Mozilla's open-source PDF.js that is served from this site. Scanned PDFs are images with no text layer, so copy the text from the original document instead.
What does it look for?
Automatic renewal and the renewal term, notice periods and cancellation windows, liability caps (fees-based, fixed amounts, one-sided or unlimited), termination rights and early-termination fees, price increases (fixed percentages, CPI, then-current prices) and data-processing terms (use of your data, sub-processors, breach notice, transfers, retention and whether a DPA is referenced).
Is this legal advice?
No. It's an automated first read using fixed rules. It can miss unusual wording and flag terms that are fine in context. Have a lawyer review contracts that matter.
How is the risk level worked out?
Each finding is High risk, Check, Low risk or Looks fair. The contract's overall level is High if any finding is high risk, Medium if any needs checking, and Low otherwise. Every rule and threshold is listed on the What it checks page.
